Terms and Conditions of Use — Art Gharana LLC (B2C Services)

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and Art Gharana LLC, a limited liability company incorporated and existing under the laws of the State of Texas, United States of America, with its principal place of business at 13717 Camp Comfort Ln, Austin, Texas 78717 USA (“Art Gharana LLC,” “we,” “us,” “our”), together with its wholly owned subsidiary Artgharana Global Private Limited, incorporated in India and located at 178 Panchvati Vastra Nagar, Roshni Ghar Road, Jayendraganj, Lashkar, Gwalior 474001 India (“Art Gharana India”). Collectively, these entities operate under one integrated brand identity known as “Art Gharana.” For purposes of this Agreement, users accessing or purchasing Services from outside India will contract exclusively with Art Gharana LLC under U.S. law, while users located in India at the time of registration or subscription will contract with Art Gharana India under Indian law. These Terms set forth the conditions under which you may access or use our websites, digital platforms, mobile applications, online classroom environments, content libraries, or any products or services that link to or reference these Terms (collectively, the “Services”). By accessing, browsing, purchasing, registering for, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be fully bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

Your continued use of the Services constitutes your ongoing consent to all provisions herein, including but not limited to: session recording and data collection practices; intellectual property restrictions; limitations of liability; mandatory binding arbitration (applicable to all non-India users); disclaimers; cancellation policies; refund limitations; parental consent and representation warranties; and all operational policies referenced or incorporated by these Terms. These Terms form an electronic contract under applicable laws in the United States and India. No physical signature is required, and the enforceability of this Agreement shall not be denied merely because it is presented or accepted in electronic form.

Nature of the Services; Brand Structure; Contracting Entity

Art Gharana is an online and hybrid arts-learning service offering live classes, recorded content, assessments, learning tools, and community engagement features across music, dance, vocal training, fine arts, and related disciplines. The Services include live one-on-one and group classes conducted via virtual meeting platforms, recorded sessions made available to users for practice and safety auditing, and digital content accessed through our websites or applications. While the brand is unified globally, the contractual entity differs based on the user’s jurisdiction: (a) users residing in India enter into a contractual relationship solely with Art Gharana India; (b) users residing outside India enter into a contractual relationship solely with Art Gharana LLC. All Services provided to any user outside India, whether billed in USD or any other foreign currency, are delivered exclusively by or on behalf of Art Gharana LLC.

Binding Acceptance

By using the Services, you represent and warrant that you are legally competent to enter into a binding contract, that all information you provide is accurate, and that your use of the Services is voluntary and compliant with applicable law. If you are a parent or legal guardian registering a minor, you hereby provide full and irrevocable consent for: (i) the minor’s participation; (ii) the collection of the minor’s data; (iii) the recording of all sessions involving the minor; and (iv) the use, processing, storage, and disclosure of such data as described herein. If you do not have authority to provide such consent, you may not allow the minor to use the Services. Art Gharana does not independently verify parental relationships or consent; registering and paying for the Services constitutes deemed lawful consent under applicable U.S. and Indian law.

Session Recording Consent and Mandatory Usage

You acknowledge, understand, and expressly agree that all live classes—whether one-on-one or group—are fully recorded by Art Gharana through video, audio, chat transcripts, shared screens, and any learning interactions. These recordings serve multiple essential purposes including but not limited to: pedagogical reinforcement; safety monitoring; quality control; dispute resolution; internal training; legal compliance; safeguarding of minors; fraud prevention; student support; performance reviews; and curriculum development. Session recording is mandatory and non-optional for all users of all ages. Parents, legal guardians, or adult students may not request selective pausing, disabling, deletion, or alteration of live session recordings except where legally required. If you or your ward do not consent to mandatory recording, you must immediately discontinue use of the Services.

Recordings may be accessible to the registered student (or their parent) for practice purposes. Recordings will never be publicly shared without consent, except when legally required or as permitted under this Agreement (e.g., dispute resolution, safety audits). You acknowledge and consent that teachers, quality personnel, and authorized employees of Art Gharana may review recordings at any time. If you discontinue Services, you may request deletion of your recordings pertaining to identifiable personal information, subject to applicable retention laws. Deletion requests must comply with our Privacy Policy and may not override mandatory retention obligations.

User Account Obligations

To access the Services, you may be required to create an account, provide personal details, submit payment information, and maintain updated profile information. You agree to maintain the confidentiality of your login credentials, accept full responsibility for all activities occurring under your account, and notify us immediately of any unauthorized use. You shall not share access credentials or allow multiple users to access the Services from the same account unless expressly permitted. Art Gharana may suspend or terminate any account suspected of unauthorized access, misuse, fraudulent activity, or breach of these Terms.

Intellectual Property Ownership

All Services, content, recordings, curriculum materials, videos, scripts, audio elements, digital products, session structures, teacher performances, assessments, study tools, user interfaces, trademarks, logos, trade dress, and software belong to Art Gharana LLC (for global users) or Art Gharana India (for India users) and are protected under international copyright, trademark, and intellectual property laws. You are granted a limited, revocable, non-exclusive, non-transferable license solely for personal, non-commercial use. You shall not copy, modify, distribute, broadcast, reproduce, reverse-engineer, scrape, mine, publish, perform, or create derivative works of any proprietary material. Session recordings remain the exclusive property of Art Gharana. Teachers, students, or parents shall not record, download, replicate, screen-record, or distribute any live or recorded session without express written approval. Unauthorized copying or distribution constitutes a breach of this Agreement and may result in civil or criminal action.

Use Restrictions

You shall not use the Services for any unlawful, harmful, or disruptive purpose. You may not upload content that is defamatory, obscene, harassing, discriminatory, pornographic, hateful, or otherwise objectionable. You may not impersonate others, misrepresent affiliations, interfere with system operations, deploy malware, attempt unauthorized access, or engage in behavior detrimental to teachers, staff, or other students. You acknowledge that Art Gharana may remove any content, suspend access, or terminate accounts at its sole discretion for misconduct, without liability.

Educational Disclaimer

Art Gharana provides educational services but does not guarantee academic outcomes, admission to institutions, professional success, skill mastery, certifications, or performance achievements. Results depend on individual effort, practice, talent, and learning conditions. The Services are provided “as is” without warranty.

Payments, Billing, Renewals, Pricing, and Currency

All payments for Services, whether for subscriptions, class packages, workshops, or digital products, must be made in full at the time of purchase using one of the payment methods supported by the Services. For users outside India, all payments, invoices, and accounting are handled exclusively by Art Gharana LLC in USD or other supported international currencies, and your payment constitutes a legally binding transaction between you and Art Gharana LLC. For users in India, billing is conducted by Art Gharana India in INR as per applicable tax laws. You agree to provide accurate payment information and authorize us to charge your selected payment method for all fees incurred. If your payment is declined, reversed, or charged back, Art Gharana may suspend or terminate your access to the Services until full payment is received. You remain responsible for all outstanding fees, taxes, and charges, including any bank or card processing fees resulting from failed charges.

Pricing may vary across regions due to factors including market conditions, taxation, currency conversion, or promotional offers. Art Gharana reserves the absolute right to modify pricing at any time without notice, including class rates, subscription fees, and promotional discounts. Any change to pricing will apply to new purchases and renewals only. Existing prepaid classes or plans will not be affected by future price increases unless otherwise expressly stated. You acknowledge that no price-matching obligation exists.

Some subscription plans may auto-renew depending on the product purchased. If you enroll in an auto-renewing plan, you authorize us to automatically charge recurring fees until you cancel. The renewal amount may differ if pricing changes; you will be notified where required by applicable law. To cancel auto-renewal, you must follow the cancellation procedures outlined in the cancellation policy section below or contact support at support@artgharana.com. Cancelling auto-renewal does not entitle you to a refund for prior payments.

Cancellation, Rescheduling, Refunds, and Class Policies

Art Gharana offers a customer-friendly cancellation policy while safeguarding teacher compensation, scheduling stability, and platform integrity. You may cancel a scheduled class at any time prior to its start, and you may cancel your subscription at any time, in each case subject to the following terms.

You may cancel an individual scheduled class at any time prior to its start. There is no minimum notice period for class cancellations, and no additional charge will be levied against you. Once a class has started, cancellation is no longer available.

All subscription cancellations must be requested at least twenty-four (24) hours prior to the next scheduled class. If such notice is provided, you will receive a prorated refund for all unused classes, calculated based on the standard (non-discounted) per-class rate applicable at the time of cancellation. Classes already attended will be charged at the full standard rate, regardless of any promotional rate or discount previously applied. No refunds will be issued for classes cancelled within the twenty-four-hour window preceding the scheduled time.

Rescheduling of individual class sessions is subject to the instructor’s availability.

For workshops, special programs, or limited-capacity events, refund policies may differ and will be communicated at the time of registration. In all cases, the burden of requesting cancellation in a timely manner rests with you.

If you dispute any charge or believe an error has occurred, you must notify us within seven (7) days of the disputed transaction. Failure to do so constitutes waiver of the dispute. Art Gharana may request supporting information or documentation and may refund or deny the claim at its sole discretion.

Refunds, where applicable, will be credited to your original payment method. Depending on your financial institution, refunds may take up to thirty (30) days to reflect. Art Gharana is not responsible for delays caused by banks, card processors, or intermediaries.

Technology Requirements and Compatibility

Access to the Services requires stable high-speed internet, compatible devices (laptops, desktops, tablets, or smartphones), functioning audio/video hardware, and updated software (e.g., browsers, Zoom or other meeting tools). You are solely responsible for ensuring your device compatibility, maintenance, and connectivity. Art Gharana assumes no liability for interruptions caused by your device, network, local infrastructure, inadequate bandwidth, firewall restrictions, outdated software, or third-party disruptions. Missed sessions caused by your technical issues are treated as attended or late-cancelled and are not eligible for rescheduling or refunds.

Art Gharana may modify technical requirements as technology evolves. You acknowledge that the Services may be temporarily unavailable for maintenance, upgrades, or unforeseen outages. While reasonable efforts are made to maintain uptime, the Services are provided “as available,” without guarantee of uninterrupted access. Art Gharana is not responsible for any loss arising from unavailability due to technical issues beyond reasonable control.

Session Conduct, Safety, and Code of Behavior

You agree to participate in classes respectfully, maintain appropriate behavior, and refrain from conduct that disrupts learning or harms teachers, staff, or other students. Abuse, harassment, offensive language, inappropriate gestures, discrimination, hate speech, threats, or any form of misconduct is strictly prohibited. Art Gharana reserves the right to terminate access without refund if you or your ward engage in unacceptable behavior.

During live classes, you may be required to turn on your camera for identity verification, safety, class engagement, or quality assurance purposes. You consent to such requirements as a condition of participation. Teachers may request adjustments to your learning environment (e.g., proper lighting, adequate space for dance, musical instrument placement) to ensure safety and learning quality, and you agree to comply within reasonable capacity.

You agree not to engage in any conduct that risks injury to yourself or others. If learning involves physical movement (e.g., dance), you represent that you or your ward are medically fit to participate. Art Gharana does not provide medical advice and is not liable for injuries or accidents occurring during or related to participation.

If Art Gharana determines that a student’s environment is unsafe, unsupervised (for minors), or otherwise inappropriate, classes may be paused or terminated without refund until compliance is achieved.

Parental Consent and Minor Participation

If you register a minor for the Services, you affirm, represent, and warrant that: (a) you are the lawful parent or legal guardian of the minor; (b) you consent to the minor’s full participation in all classes and Services; (c) you consent to the collection, use, storage, and processing of the minor’s personal information as described in our Privacy Policy; (d) you consent to mandatory session recording for all classes; (e) you acknowledge that session recordings may include the minor’s voice, video, chat messages, performance, and other interactions; and (f) you consent to Art Gharana’s internal review of such recordings for safety, quality, audit, and legal purposes.

You also agree to supervise the minor’s usage of devices and the internet. Art Gharana does not independently verify age or parental relationships; by registering, you take full responsibility for lawful consent. If a minor is found using the Services without valid parental consent (whether due to misrepresentation or violation of these Terms), Art Gharana may suspend or terminate access without refund.

Prohibition Against Unauthorized Recording, Redistribution, or Misuse

You expressly agree that you shall not record, download, screenshot, screen-record, transmit, publish, livestream, distribute, or reproduce any portion of a live class, recorded session, teacher demonstration, teaching method, performance, or proprietary digital content. Unauthorized recording or sharing may violate copyright, privacy, and child protection laws. You acknowledge that such actions may result in immediate termination, civil liability, and potential legal action.

You shall not post or share other students’ content, class interactions, or personal information without explicit consent. Similarly, teacher recordings, methods, demonstrations, or performances are exclusively owned by Art Gharana and cannot be copied or distributed. You may not use class recordings for commercial, promotional, competitive, or training purposes.

If you inadvertently record a class (e.g., due to device auto-recording), you must immediately delete the recording and inform Art Gharana. Continued misuse will result in termination.

Teacher Assignments, Scheduling, and Substitutions

Art Gharana may assign teachers based on availability, specialization, style, learning needs, or operational considerations. While we strive to provide continuity, teacher changes or substitutions may occur due to scheduling conflicts, emergency leave, illness, operational needs, or performance optimization. You acknowledge and accept that teacher assignments are not guaranteed, and changes do not warrant refunds.

In case of teacher unavailability, Art Gharana may reschedule the session or assign a qualified substitute. If Art Gharana cancels a class without offering a suitable alternative, you may request a credit for the missed session.

Teacher performance, pedagogy, or methods may vary. Art Gharana conducts internal quality checks and reserves the right to make changes to teaching personnel or methodologies without prior notice.

Content Ownership, Licensing, and User Submissions

Any content submitted by you—including assignments, audio recordings, video submissions, performance videos, artwork, text, or chat contributions—may be used by Art Gharana for educational, quality, safety, or dispute-resolution purposes. You grant Art Gharana a perpetual, worldwide, royalty-free, non-exclusive license to store, process, analyze, review, and use such content within the platform operations. This license does not authorize public distribution unless separately agreed in writing.

Users may not upload infringing, plagiarized, copyrighted, obscene, defamatory, harmful, or illegal content. If you submit content, you warrant that you own or have rights to the material. Art Gharana may remove content at its discretion.

Prohibited Conduct and Platform Misuse

You agree not to engage in any of the following: attempting to bypass security protocols; scraping, crawling, or mining data; reverse-engineering our platform; interfering with classes; using profanity or hate speech; soliciting teachers for outside-class activities; offering or accepting private lessons outside the platform; harassing staff or students; sharing Zoom links publicly; impersonating others; or engaging in fraudulent or deceptive practices. Violation may result in termination without refund and potential legal action.

Data Protection, Privacy, and Cross-Border Transfer

You agree that your personal information will be processed pursuant to the Art Gharana Privacy Policy. For non-India users, your data is stored and processed in the United States under Art Gharana LLC. For India users, data is processed under Indian regulations by Art Gharana India. You acknowledge that data may be transferred across borders for legitimate business purposes, including teacher assignment, customer support, analytics, session recording storage, or operational needs. You consent to such transfers to the fullest extent permitted by applicable law.

Service Modifications, Updates, Interruptions, and Platform Changes

Art Gharana reserves the absolute right, at its sole discretion and without obligation to provide prior notice, to modify, update, suspend, discontinue, or alter any portion of the Services, including course structures, class formats, session durations, technology platforms, teacher assignments, curricula, features, pricing, user interface elements, or any operational processes as may be required due to business reasons, technological advancements, faculty changes, intellectual property considerations, safety needs, or legal compliance. You agree that Art Gharana shall not be liable to you or any third party for any modification, discontinuation, or unavailability of the Services, and you expressly waive any claim arising from such actions.

Service interruptions may occur due to server maintenance, upgrades, emergencies, network outages, force majeure events, or circumstances beyond our control. While reasonable measures are taken to minimize downtime, Art Gharana does not guarantee uninterrupted access. You acknowledge that technical issues are inherent to online learning systems and agree that any temporary unavailability does not constitute a breach of contract.

Third-Party Services, External Tools, and Integrated Platforms

The Services may integrate with or rely upon third-party tools, such as Zoom or other video-conferencing platforms, payment gateways, analytics systems, email service providers, cloud storage services, and other vendors. You acknowledge that: (a) Art Gharana does not control these third-party systems; (b) your use of such systems is subject to their respective terms, privacy policies, and technical requirements; (c) outages or failures of such systems may impact your access; and (d) Art Gharana disclaims all liability for any issues arising from third-party services, including downtimes, data breaches, service interruptions, or errors.

Your interactions with external links, third-party websites, social media plug-ins, or external content posted within the platform are entirely at your own risk. Art Gharana does not endorse, review, or guarantee the accuracy or reliability of third-party content and is not responsible for their practices. If you choose to use third-party log-ins or grant permissions via integrations, you assume full responsibility for the consequences of such actions.

You acknowledge that some third-party providers (e.g., Zoom) may process your video, audio, or usage information for their own operational purposes, and you consent to such processing to the extent required for participation in the Services.

Compliance with Local Laws and Age Restrictions

You agree to use the Services only in compliance with all applicable local, state, national, and international laws and regulations. It is your responsibility to determine whether the Services are permitted under your local jurisdiction, including restrictions relating to children’s online privacy, video recording, encryption, data storage, or educational content. Art Gharana makes no representation that the Services are available or appropriate in all jurisdictions. If local laws prohibit the use of certain features, including session recordings, you must discontinue use immediately.

Minors are permitted to use the Services only through parent or guardian registration and ongoing supervision. If you falsely represent your age or consent authority, or if you attempt to circumvent age restrictions, Art Gharana may suspend or terminate your account without refund.

Class Environment Requirements and Safety Responsibilities

You acknowledge that certain classes—especially those involving dance, movement, or physical activity—require safe environments. You are solely responsible for providing adequate space, flooring, ventilation, lighting, and supervision. Art Gharana is not responsible for accidents occurring due to unsafe environments or lack of supervision. You agree to ensure that minors are supervised at all times while attending class.

You understand that teachers may provide general guidance, but cannot physically assess your environment through video. You accept full responsibility for ensuring physical safety, health conditions, and avoidance of hazards during participation.

Disclaimers Regarding Skill Development and Learning Outcomes

Art Gharana provides structured classes, curriculum, and learning support; however, we do not guarantee specific outcomes, skill levels, grade improvements, artistic mastery, competition results, admission to institutions, certifications, progress rates, or any measurable achievement. Artistic skill development varies due to numerous factors including practice routine, physical ability, learning pace, environmental support, teacher compatibility, and individual effort. You agree that reliance on the Services for specific outcomes is solely at your own discretion and that no statements by staff, teachers, or marketing materials shall be construed as guarantees.

Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. ART GHARANA LLC AND ART GHARANA INDIA DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, TIMELINESS, COMPLETENESS, RELIABILITY, OR ADEQUATE QUALITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE. YOU ASSUME ALL RISKS ASSOCIATED WITH THE USE OF THE SERVICES.

YOUR USE OF THE SERVICES, INCLUDING SESSION RECORDINGS, LIVE INTERACTIONS, AND DIGITAL CONTENT, IS ENTIRELY AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ART GHARANA LLC, ART GHARANA INDIA, THEIR OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, FACULTY, CONTRACTORS, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, LOSS OF OPPORTUNITY, PERSONAL INJURY, PROPERTY DAMAGE, DEVICE DAMAGE, OR ANY OTHER LOSS), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR RELATED TO THE SERVICES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF ART GHARANA LLC OR ART GHARANA INDIA EXCEED THE AMOUNT PAID BY YOU TO ART GHARANA IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT GIVING RISE TO LIABILITY. IF YOU HAVE NOT MADE ANY PAYMENT, YOUR SOLE REMEDY IS TO CEASE USING THE SERVICES.

YOU AGREE THAT THE LIMITATIONS IN THIS SECTION APPLY TO ALL CAUSES OF ACTION, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, WARRANTY, OR ANY OTHER LEGAL THEORY, AND SURVIVE TERMINATION OF YOUR ACCOUNT.

Indemnification

You agree to fully indemnify, defend, and hold harmless Art Gharana LLC, Art Gharana India, and their officers, directors, employees, teachers, agents, contractors, successors, and assigns from and against any and all claims, liabilities, losses, damages, expenses, demands, suits, and costs (including attorneys’ fees) arising out of or related to: (a) your use or misuse of the Services; (b) your breach of these Terms; (c) your violation of any applicable law; (d) injuries, damages, or losses occurring during your participation in classes; (e) content you upload, transmit, or share; (f) disputes involving your device, environment, or supervision of minors; or (g) any misrepresentation made by you in connection with registration or use of the Services. You agree that Art Gharana may assume defense of such claims at your expense and that you shall cooperate fully with such defense.

Termination, Suspension, and Account Closure

Art Gharana may, at its absolute discretion and without prior notice, suspend or terminate your access to all or part of the Services for any reason, including but not limited to: breach of these Terms; misuse or misconduct; unsafe behavior; harassment; unauthorized recording; fraud; abusive communication; legal requirements; or operational need. Upon termination, your license to access the Services immediately ceases. You are not entitled to refunds for terminated accounts unless expressly stated. Art Gharana may retain necessary data in accordance with its Privacy Policy and legal obligations.

You may request account closure at any time. Closure does not entitle you to refunds for past payments. Some data may remain archived or retained to comply with record-keeping obligations, session recording retention laws, safety audits, or dispute resolution requirements.

Mandatory Binding Arbitration (Non-India Users Only)

If you reside outside India or access the Services from outside India, you agree that any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The seat and venue of arbitration shall be Travis County, Texas, United States, and the arbitration shall be conducted in English. You waive any right to litigate disputes in court, except for claims that may be taken to small claims court if eligible. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver

YOU AND ART GHARANA AGREE THAT ALL DISPUTES SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION.

Governing Law (Non-India Users)

These Terms shall be governed exclusively by the laws of the State of Texas, without regard to conflict-of-law principles. The Federal Arbitration Act governs arbitration provisions.

India Residents — Local Jurisdiction

If you are located in India at the time of registration, disputes shall be governed by Indian law, and jurisdiction shall lie exclusively with courts at Gwalior, Madhya Pradesh. Arbitration, where applicable, shall be under the Arbitration and Conciliation Act, 1996.

Waiver of Jury Trial (Non-India Users)

To the fullest extent permitted by applicable law, you and Art Gharana LLC expressly waive any constitutional or statutory right to a trial before a jury in any litigation relating to claims, disputes, or controversies arising out of or relating to these Terms or the Services. If for any reason a dispute proceeds in court rather than arbitration, you agree that such dispute shall be resolved before a judge without a jury.

Severability

If any provision of these Terms is held to be invalid, unlawful, void, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. The invalidity of any part of these Terms shall not invalidate the remaining terms unless such invalidity materially affects the essential purpose of the Agreement.

No Waiver

No failure or delay by Art Gharana in exercising any right, remedy, or power under these Terms shall be deemed a waiver of such right, nor shall any single or partial exercise of any right preclude the exercise of any other or additional rights. A waiver shall be valid only if expressly provided in writing and executed by an authorized representative of Art Gharana.

Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Art Gharana. Any attempted assignment without consent shall be void. Art Gharana may freely assign or delegate its rights and obligations, in whole or in part, to any affiliate, successor, purchaser, or entity resulting from merger, acquisition, corporate restructuring, or internal reorganization, without notice or consent.

All notices or communications from Art Gharana to you will be delivered via email to the email address associated with your account or displayed within the Services. You agree that notices sent to your registered email address shall be deemed received within twenty-four (24) hours of being sent.

Entire Agreement

These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Art Gharana regarding use of the Services and supersede all prior discussions, agreements, proposals, and understandings (whether written or oral). No oral statements, promises, or representations not expressly stated in these Terms shall be binding.

Relationship of Parties

Nothing in these Terms creates or shall be construed to create a partnership, joint venture, employment relationship, franchise, agency, or fiduciary relationship between you and Art Gharana. You acknowledge that you are entering into this Agreement as an independent user and that no teacher, employee, or representative has authority to bind Art Gharana beyond the explicit terms stated in these Terms.

Force Majeure

Art Gharana shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, civil disturbances, wars, riots, labor strikes, supply chain disruptions, telecommunication failures, power outages, cyberattacks, technical failures, or third-party service failures. In such circumstances, performance shall be suspended until the delaying condition is resolved.

Headings; Interpretation

Headings in these Terms are for convenience and organizational ease only and shall not affect interpretation. References to “including” or “includes” mean “including without limitation.” These Terms shall be interpreted according to their plain meaning and not strictly for or against either party.

Teacher Conduct and Boundaries

Art Gharana maintains strict professional and ethical guidelines for all teachers and staff. You acknowledge that:

• (a) Teachers may not provide personal contact details outside the platform;
• (b) Teachers may not engage in private lessons, communication, or interactions outside Art Gharana;
• (c) Teachers may not be requested to perform additional services beyond class delivery (e.g., personal errands, custom compositions, event performances) unless approved by Art Gharana;
• (d) Any inappropriate request or boundary violation will lead to immediate action, including suspension of your access without refund.

You agree to report any teacher misconduct directly to support@artgharana.com. You understand that Art Gharana may review session recordings for verification and safety.

User Conduct Toward Teachers and Staff

You agree to interact respectfully and professionally with teachers, administrators, and support staff. Abusive language, harassment, threats, personal insults, unrealistic demands, extortionary behavior, defamatory statements, manipulation of scheduling, or attempts to coerce favorable treatment constitute breach of contract. Art Gharana may terminate your access immediately without refund for such behavior.

Prohibition of Off-Platform Arrangements

You agree not to solicit teachers for private lessons, payments outside the platform, or external learning arrangements. Teachers are contractually prohibited from teaching you outside Art Gharana, and attempting to bypass the platform harms the integrity of the service. If you solicit or engage in such practices, Art Gharana may suspend your access permanently, and you may be liable for damages, fees, or penalties associated with breach of this clause.

Content Submissions and Testimonials

You may voluntarily submit feedback, testimonials, performance videos, artworks, or success stories. By doing so, you grant Art Gharana a royalty-free, perpetual, worldwide license to use such submissions in anonymized or identifiable form for marketing, quality assessment, promotional campaigns, or internal analysis, unless you withdraw consent in writing. Withdrawal applies prospectively and does not require removal of historical usage already published.

Monitoring and Enforcement

Art Gharana may monitor your use of the Services, including but not limited to login patterns, attendance records, interactions during class, submission content, and communication with teachers or support staff, to ensure compliance with these Terms and for safety and quality control. You consent to such monitoring to the maximum extent permitted by law.

Session Recordings and Legal Safeguard Clause

As previously stated, session recording is mandatory and strictly enforced. You acknowledge that these recordings serve as a legal safeguard for all parties, including detection of misconduct, prevention of inappropriate interactions, auditing of teaching quality, investigation of disputes, and protection of minors. You irrevocably consent to being recorded during all classes and understand that your refusal to consent requires immediate discontinuation of the Services. You agree that recordings are proprietary data of Art Gharana and that you have no ownership claim or copyright interest in them. You may request deletion of identifiable recordings only when discontinuing the Services, subject to legal retention obligations.

Compliance with Platform Policies and Fair Usage

Some features—including doubt-clearing tools, supplementary sessions, teacher feedback, class recordings, and digital resources—may be subject to fair usage limits. Excessive usage (e.g., requesting unreasonable volumes of support, repeatedly rescheduling, or burdening teachers with out-of-scope requests) may lead to temporary restrictions or adjustment of your plan. You agree that Art Gharana reserves sole discretion to interpret fair usage.

Geographical Restrictions

Services offered by Art Gharana LLC are intended for global users outside India. Art Gharana India serves users within India. Prices, features, and availability may vary by region. You agree not to circumvent geographical restrictions, tax obligations, or billing jurisdictions by using VPNs, false addresses, or misleading information.

Modifications to Terms

Art Gharana reserves the right to revise, update, amend, or replace these Terms at any time. Changes will be posted with a revised “Last Updated” date. Continued use of the Services after publication of changes constitutes binding acceptance. If you do not agree with modified Terms, you must discontinue use immediately.

Survival of Provisions

The following provisions survive account closure or termination: Intellectual Property, Session Recording, Payment Obligations, Warranty Disclaimers, Limitation of Liability, Indemnification, Arbitration, Governing Law, Class Action Waiver, and any clause which by nature is intended to survive termination.
